“Manners Maketh Good Governance” – Mock Board Meeting – a PDX Education Workshop

Many organizations face the challenge of directors and members wishing to be over-involved in management. How does a CEO/ED deal with requests for information, over-involved individuals and assertive behaviours? How do you deal with dysfunction at the board level? With breaches of confidentiality? Other trust issues? This session will address many of the challenges and potential solutions to these issues.

Victoria Prince, Partner, Borden Ladner Gervais LLP will moderate a Mock Board Meeting portrayed by a panel of “Directors” alternating with round table group discussions on the various scenarios presented. Victoria will wrap up each “behaviour” with expert advice on “dealing” with the dysfunction to produce a functioning Board.

Board meeting behaviours to be portrayed by the panel include: inattentiveness, disorderly conduct, disclosing confidential information, holding private conversations at the table, continually interrupting another member when he/she is speaking, improper preparation, social media breaches, etc.

Course Facilitator – Victoria Prince

Victoria is the National and Toronto Regional Chair of BLG’s Not-For-Profit Practice Group. Her practice involves advising not-for-profit organizations and charities on issues such as governance, by-laws, incorporation, obtaining registration as a charity, contracts and agreements of all types. Victoria is also the National Practice Group leader for BLG’s Corporate Commercial Group. As well, Victoria is a member of both the Ontario Bar Association and Canada Bar Association Charities and Not for Profit Law Sections.

Among volunteer positions held in the industry, Victoria is a Director and Secretary of Kids Up Front (Toronto) and of The Hammer Band: From Violence to Violins. She is also a Director and President of The BLG Foundation and a co-chair of the legal community’s Give a Day campaign.
